Terms of Use
Enterprise Alumni is the platform used by Baker McKenzie to strengthen its relationships with former employees and other alumni through fostering ongoing professional connections, knowledge sharing and community engagement (the “Platform”). The Platform is provided to you by the member firms of Baker & McKenzie International and any wholly or majority owned affiliated entities of any one of them, and any Baker McKenzie service company ("Baker McKenzie", "us", "our" or "we"). The following Terms of Use (“Terms”) shall apply to and govern your use of the Platform. Please read these Terms carefully before proceeding to use the Platform. By proceeding to use the Platform, you are confirming your acceptance of these Terms. If you do not agree to these Terms you should not use the Platform.
Data Privacy
Please see our Privacy Policy for information on how your personal data may be processed in connection with the Platform.
Login Credentials
You may access the Platform using your unique login credentials. You agree to keep your login credentials confidential and not to disclose them to any other person. Baker McKenzie is entitled to assume that any activity in the Platform under your username and password was conducted by you. If your username or password is lost or stolen, or if you believe that your account has been accessed by unauthorised parties, you should change your password and notify Baker McKenzie immediately using the details provided in the Contact Us section below.
Uploading Content
By uploading content to the Platform, you affirm, represent and warrant that you have or own all necessary licenses, rights, consents and permissions from all relevant rightsholders to upload such content to the Platform in compliance with all applicable laws and regulations. You are solely responsible for the content or information that you upload, cause to upload or permit to be uploaded to the Platform. You acknowledge that Baker McKenzie may access and use content uploaded to the Platform in accordance with the Privacy Policy as it may be changed by Baker McKenzie in its sole discretion from time to time.
Handling Content
The Platform contains content that may be confidential, privileged or proprietary to Baker McKenzie. You shall take all reasonable measures to protect the confidentiality of such content and shall not disclose, share, leak, destroy, sell, lease, publish, alter, remove or use such content or cause or permit one or more other persons to do so except where specifically authorized by the party that holds the proprietary rights to, or rights to the confidential or privileged treatment of, the content.
In addition to handling confidential, privileged or proprietary content in the manner provided above, you shall not disclose, share, leak, destroy, sell, lease, publish, alter, remove or use any other content on the Platform or cause or permit one or more other persons to do so except where specifically authorized by the party that holds all relevant rights in and to such content.
Prohibited Uses
You agree that you shall not use the Platform:
- to create or display content that is illegal, discriminatory, harmful, fraudulent, deceptive, defamatory, likely to offend others, that promotes or encourages violence or violation of laws;
- in a manner which is inconsistent with the Privacy Policy and any Disclaimers on the Baker McKenzie website;
- to violate laws or infringe the rights of Baker McKenzie or any third party;
- to interfere with the normal functioning of the Platform or anyone else's use of the Platform;
- to deploy any data mining, robots or similar data gathering and extraction tools, or viruses, Trojan horses, spyware or any other technologies or malicious code in connection with the Platform or cause or permit one or more other persons to do so;
- to copy, modify, decompile, reverse engineer, disassemble, create derivative works of, or otherwise reduce the Platform or any part thereof to human-perceivable form or cause or permit one or more other persons to do so, unless explicitly allowed by applicable law;
- to violate, circumvent or attempt to violate or circumvent any security measures employed by us; to access or attempt to access data or materials which are not intended for your use; to log into, or attempt to log into, a server or account which you are not authorised to access; attempt to scan or test the vulnerability of our servers, system or network or attempt to breach our data security or authentication procedures; attempt to interfere with the Platform by any means including, without limitation, hacking our servers or systems, submitting a virus, overloading, mail-bombing or crashing.
Administration
Baker McKenzie has no duty or obligation under the Terms to monitor, correct, remove or take any action in respect of any content uploaded to the Platform by you. Baker McKenzie does not endorse or exercise any editorial review in respect of any content uploaded to the Platform by you. Baker McKenzie may take any action with respect to any content uploaded to the Platform that is necessary or appropriate, including but not limited to the removal or deletion of such content. You agree to promptly report to Baker McKenzie any suspicious or unauthorised access to or use of the Platform. Baker McKenzie reserves the right to monitor any and all activity on the Platform and may notify the appropriate parties if any suspicious activity is detected. Baker McKenzie reserves the right, at its discretion to: (i) remove or suspend any individual who it believes may be breaching any provision of these Terms; and/or (ii) to refuse any application for registration on the Platform on reasonable grounds. Any liability of the Firm in respect of such removal, suspension or refusal is hereby excluded to the greatest extent permitted by law.
Disclaimers and Liability
Use of the Platform or any of the information, content, materials or other services provided therein is at your own risk. Baker McKenzie makes the Platform available on an "as is" and "as available" basis and to the fullest extent permissible by applicable law disclaims all representations and warranties of any kind, express or implied, as to the quality, operation or any other aspect of the Platform or the information, content, materials or other services provided therein. Under no circumstances will Baker McKenzie be liable for any direct, indirect, incidental, punitive, special or consequential damages or liability, whether foreseeable or unforeseeable, arising from or relating to the use or access or inability to use or access the Platform. The parties agree that, where applicable law precludes liability from being limited or excluded as provided in these Terms, such liability will be limited to the fullest extent permitted by applicable law and users shall take all reasonable measures to mitigate any loss and damage incurred.
Links to Other Internet Sites
You agree that you are solely responsible for your interactions with external websites and third parties to which the Platform provides access (such as by clicking on a link). The Terms and Privacy Policy apply only to the Platform and do not apply to other portions of Baker McKenzie's internal network or to any external websites. Baker McKenzie shall not be responsible for third parties' information practices. Baker McKenzie provides links as a convenience, and such inclusion of any link does not suggest endorsement of the site or its content.
Intellectual Property
All content included on or through the Platform is the property of Baker McKenzie and protected by applicable national and international copyright laws, trademark laws, patent laws, and other intellectual property laws, as applicable. Such content includes but is not limited to text, graphics, logos, button icons, images, data compilations, systems, processes and applications.
Except as otherwise expressly provided under these Terms, the Firm is not giving you any licenses to any such intellectual property by providing access to the Platform. All rights not explicitly granted to you are reserved by the Firm.
Nature of the Relationship
These Terms shall in no way be construed to render either party a partner, employee or agent of the other party. Neither party shall have any right or authority to assume or create any liability or obligation, expressed or implied, on behalf of, or to bind in any manner, the other party.
Waiver
No delay or omission by any party in exercising any right under these Terms with respect to any of the provisions of these Terms shall impair any such right or be construed to be a waiver of any such right.
Each party expressly agrees to waive and set aside their respective rights and obligations under any applicable law in the event of any termination of these Terms including, without limitation, to the extent that such law requires any judicial pronouncement for the termination of these Terms.

Governing Law / Jurisdiction
Without prejudice to any mandatory provisions of applicable law which cannot be excluded or restricted as a matter of law:
- these Terms shall be governed and construed under the laws of the State of Illinois without regard to conflicts of law provisions;
- any suit or arising out of or relating to these Terms will be brought in the federal or state courts, as applicable, in the State of Illinois and each party irrevocably submits to the jurisdiction and venue of such courts;
- the parties expressly exclude the application of: (i) the Uniform Computer Information Transactions Act; and (ii) the UN Convention on Contracts for the International Sale of Goods (in each case as amended, consolidated or repealed from time to time).
Variation
The Firm reserves the right to revise these Terms at any time as its discretion. Please review the Terms each time you log into the Platform to ensure you are aware of any changes. If you do not agree to these Terms, you should not use the Platform and you should notify Baker McKenzie immediately using the details provided in the Contact Us section above. By continuing to use the Platform following publication of any updated Terms, you will be deemed to have accepted the changes.
Severance
If any provision of the Terms is held to be invalid or unenforceable by any judicial or other competent authority, all other provisions of the Terms will remain in full force and effect and will not in any way be impaired.
Entire Agreement
These Terms constitute the complete and exclusive statement of the terms of use of the Platform and supersede all representations, discussions and correspondence between the parties regarding the same, including but not limited to any letters, proposals, verbal or other communications sent by one party to the other party. Nothing in this section shall limit or exclude liability for fraud. The parties further acknowledge that the processing of personal data in the context of the Platform shall be as provided in the Privacy Policy.
